The Banppi platform consists of the website (banppi.com) and web application (app.banppi.com) and may include mobile apps in the future. By using Banppi, you agree to be bound by these Terms & Conditions. All private investments through Banppi will carry a risk and are not guaranteed. Users through Banppi will not directly own any sort of real property or immovable assets. Instead, they will have a digital asset that entitles the holder to a portion of a property's net income in proportion to the amount of that property's digital asset that the user holds. No additional ownership or rights over a property are granted to holders of the digital asset. Banppi is not a manager of investments, assets, or funds and it does not invest or manage funds on behalf of its users. Banppi does not provide any sort of financial advice to registered users or guests of the website and platform. Banppi is not a property manager nor a real estate agency platform.

This website is operated by the company Banppi, S.R.L., a company duly incorporated under the laws of the Republic of Costa Rica, under corporate identification number 3-102-949749. The main object of the website is the operation of the platform with the name “Banppi”.

Accessing this Website
Access to our website is permitted on a temporary basis, and we reserve the right to withdraw or amend the services we provide on our website without any prior notice to the users (see below). Banppi will not be liable if, for any reason, our website is unavailable at any time or
for any period. From time to time, we may restrict access to some parts of our website, or our entire website, to users who have registered with us.

If you choose, or you are provided with, a user identification code, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not share it with any other person. You agree not to allow any other party to access your account using your credentials and to perform any actions on the platform on your behalf. Banppi will not be liable for loses that occur from a third party accessing your account using your credentials, nor for situations occurred because of user negligence. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use. You agree to notify us immediately upon becoming aware of any unauthorized disclosure or use of your user identification code and/or password.

You are responsible for making all arrangements necessary for you to have access to our website. You are also responsible for ensuring that all persons who access our website through your internet connection are aware of these Terms of Use, and that they comply with them.

Digital Assets
Investments in private offerings involve a degree of risk from the investor. Investments in private offerings are not bank deposits and therefore are not insured by any banking authority nor guaranteed by any other party. No securities commission or regulatory authority has recommended or approved any investment or the accuracy or completeness of any of the information or materials provided by or through us.

Prohibited Use
You may use our site only for lawful purposes. You may not use our site:

- In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

Banppi will determine, in our discretion, whether there has been a breach of these Terms of Use through your use of our site. When a breach of these Terms of Use has occurred, we may take such action as we deem appropriate including but not limited to taking all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use our site.
- Issue of a warning to you.
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
- Further legal action against you.
- Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

Membership Obligations
Where you have joined this website as a member you undertake to inform us immediately of any claim or action against you for any use of this website and, on request from us, to immediately cease the act complained of. You agree to inform us immediately of any changes affecting your registration details. It is your obligation to ensure that your registration details are kept up to date.

Whilst we have taken reasonable care in compiling this website, we are not responsible for any action taken by any person or organization, wherever they are based, as a result, direct or otherwise, of information contained in or accessed through this website whether such information is provided by us or by a third party. Liquidity Not Guaranteed
Digital assets offered by Banppi are not liquid or shall not have and there is never any guarantee that you will be able to exit your investments on the Secondary Market or at what price an exit (if any) will be achieved.

Not a Public Exchange
The Banppi Platform is NOT a stock exchange or public securities exchange, there is no guarantee of liquidity and no guarantee that Banppi will continue to operate or remain available to investors.

Force Majeure
Banppi will not be liable on account of any loss, damage or delay occasioned or caused by acts of God or of the public enemy, terrorism, cyber terrorism or breach of security, communications or power interruptions or outages, compliance with any law, regulation or other governmental order, or any other causes beyond reasonable control of either party that cannot be overcome or prevented by due diligence, whether or not similar to the foregoing.

Intellectual Property Rights
The intellectual property rights in this website, and in the material published on it including without limitation, in all documents, files, text, images, RSS Feeds, audio files, Podcasts, video files, flash tutorials, graphics, devices and code contained in it and in this website's general "look and feel", are owned by Banppi.
